§ 1 Provider and Scope

SteadiBay is an online marketplace operated by SteadiParts GmbH, Buchenweg 10, 85232 Bergkirchen, Germany ("Operator"). These Terms govern the use of the platform and all transactions between users. By registering or using the platform, users agree to these Terms.

§ 2 Nature of the Platform (Marketplace)

SteadiBay is a technical platform for facilitating purchase agreements between users. The Operator is not a buyer or seller, does not become a contracting party, and does not transfer possession or ownership. Contracts are concluded exclusively between buyer and seller.

  • No guarantee for quality, condition, or authenticity of items
  • No guarantee for accuracy of listings
  • No guarantee for contractual performance by users
  • Use at your own risk

§ 3 Definitions

  • Buyer: User who purchases an item
  • Seller: User who offers an item
  • Listing: Offer of an item
  • Transaction: Purchase agreement between buyer and seller
  • Content: All data uploaded by the user
  • Account: User account

§ 4 User Account

Requirements: Minimum age 18 years and full legal capacity.

  • Provide accurate information
  • Keep data up to date
  • Keep login credentials confidential

The Operator may suspend or delete accounts at any time.

§ 5 Listings and Offers

Sellers are obligated to provide complete and truthful information, accurately describe the condition, and disclose any defects.

  • Stolen goods are prohibited
  • Counterfeits are prohibited
  • Illegal products are prohibited

The Operator may remove listings at any time.

§ 6 Contract Formation

Upon completion of a purchase, a binding contract is formed exclusively between buyer and seller. The Operator is not part of this contract.

§ 7 Payment Processing and Escrow

Payment processing is handled by the payment service provider Stripe.

  • Buyer pays through the platform
  • Payment is held in escrow
  • Payout occurs after completion of the transaction

The Operator does not hold customer funds and is not a payment service provider. No payment claims can be made against the Operator.

§ 8 Payout to Sellers

Payout occurs after confirmation by the buyer or after expiration of the period without complaint.

  • Delay in case of disputes
  • Delay in case of suspected fraud
  • Delay in case of missing verification

§ 9 Shipping and Delivery

The seller is obligated to ship promptly (usually within 3 business days), package securely, and use tracked shipping.

  • For consumers: risk passes upon delivery to the buyer
  • For businesses: risk passes upon handover to the carrier
  • Insured shipping is recommended

§ 10 Buyer Protection

The buyer has 7 days after receipt to confirm delivery or file a complaint. Without response, the payment is automatically released.

§ 11 Complaints and Disputes

Complaints are possible for non-delivery, significant deviation, or defects.

  • Payout is paused
  • Both parties submit evidence
  • The Operator may mediate, make a decision, or refer the case to the payment provider

§ 12 Reversals and Refunds

Reversals are handled between buyer and seller. For justified complaints: return required, purchase price refunded.

  • Costs borne by seller for justified complaints
  • Costs borne by buyer for unjustified complaints

§ 13 Fees

A tiered platform fee is charged for successful transactions. The fee is automatically deducted and displayed before completion.

Changes to the fee structure are possible at any time and will be announced in advance.

§ 14 Seller Obligations

  • Guarantee ownership of the item
  • No infringement of rights
  • Complete description
  • Commercial sellers must comply with legal requirements and issue invoices

§ 15 Buyer Obligations

  • Complete payment
  • Inspect the goods
  • Fair use of buyer protection

§ 16 Identity Verification (KYC)

The Operator may require verification at any time. This may be a prerequisite for using the platform and receiving payouts.

§ 17 Abuse and Sanctions

  • Circumventing the platform is prohibited
  • Fraud is prohibited
  • False information is prohibited
  • Manipulation is prohibited

Measures: suspension, deletion, withholding of payouts.

§ 18 Content and Usage Rights

Users retain rights to their content but grant the Operator usage rights. Users are responsible for their content.

§ 19 Third-Party Providers

The platform uses third-party providers. The Operator is not liable for their services.

§ 20 Availability

Permanent availability is not guaranteed.

§ 21 Liability

  • No liability for user content
  • No liability for transactions
  • No liability for indirect damages

Liability is limited to the legally permissible extent.

§ 22 Warranty Disclaimer

The platform is provided "as is". No guarantees are made regarding functionality, availability, or error-free operation.

§ 23 International Trade

Users are responsible for customs, taxes, and import/export regulations.

§ 24 Right of Withdrawal

No right of withdrawal against the Operator. A right of withdrawal may exist against commercial sellers.

§ 25 Changes to Terms

Changes will be announced. Continued use constitutes acceptance.

§ 26 Final Provisions

German law applies. Place of jurisdiction for merchants is Munich. If individual provisions are invalid, the remainder remains effective.
